Local Joey Terms of Use

Local Joey Inc. ("Local Joey") welcomes you to our Website (our "Site") www.LocalJoey.com. The Site is provided as a service to our customers. Please review the following terms and conditions of use and the linked Privacy Policy, which govern your use of our Site (the "Agreement").

Your continued use of our Site is ratification of your consent to follow and be bound by the Agreement. We reserve the right to update or modify this Agreement at any time without prior notice. For this reason, we encourage you to review the Agreement periodically. If you do not agree to these terms, it is your choice to not use our Site, otherwise you will be held to have agreed to these terms.

Registration

Registration on our Site is not available to minors under the age of 18 or to any users suspended or removed from the system by Local Joey for any reason. We do sell products for children to adults, who can purchase with a credit card or other permitted payment method. If you are under 18, you may use Local Joey only with involvement of a parent or guardian. Users may not have more than one active account and are prohibited from selling, trading, or otherwise transferring your account a secondary or tertiary party.

Duty of Truthful Disclosure

You agree to provide true, accurate, current and complete information about yourself for registration on our Site. If you provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Local Joey has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, current has the right to suspend or terminate your account and refuse any and all current or future use of our Site (or any portion thereof). If you use our Site, you are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. If there is any unauthorized use of your account or any other breach of security Local Joey reserves the right to refuse service, terminate accounts, or remove or edit content in its sole discretion.

Access to Secure Areas

Access to password-protected areas is only permitted to authorized users. Unauthorized individuals will not be able to avail themselves of any protection under this Agreement and may be subject to prosecution.

License Granted to You

Local Joey grants you a limited license to access and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Local Joey. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Local Joey. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Local Joey without express written consent. You may not use any metatags or any other "hidden text" utilizing Local Joey's name or trademarks without the express written consent of Local Joey. Any unauthorized use terminates the permission or license granted by Local Joey. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of Local Joey.com so long as the link does not portray Local Joey, or its products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Local Joey logo or other proprietary graphic or trademark as part of the link without express written permission.

Site Transactions

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

Offer purchase and certificate redemption

Local Joey provides Users with opportunities to purchase products and services from third party merchants ("Merchants") with a time limited promotional product or service (a "Deal").

By placing an order for a given Deal, you make an offer to purchase the Deal you have selected on the terms, restrictions and conditions associated with the Deal. Once you have placed your order and subject to certain conditions such as a minimum threshold of the number of Deals purchased, you will receive a confirmation of the Deal and your credit card will be charged for the amount of the Deal. Access to a Voucher (which can be downloaded / printed) to redeem the Deal will also be sent to you.

Terms and Conditions of any Deal

Each Deal has specific terms associated with the Deal, which will be presented to you at the time you commit to purchase the particular Deal. Deal specific terms supersede any inconsistent terms in this Agreement, except to the extent that applicable law prohibits such terms.

Unless otherwise stated in the Voucher or required by law, the following additional terms apply to all Vouchers:

• 1. There is no cash redemption value for any Voucher or any part of a Voucher, except where required by Law;
• 2. Vouchers cannot be combined with any other coupons or promotions unless otherwise noted in the Voucher;
• 3. Vouchers cannot be used for taxes, tips, prior balances, shipping or handling, as applicable;
• 4. Neither Local Joey nor the Merchant is responsible for lost or stolen Vouchers or Voucher reference numbers;
• 5. Unless otherwise stated at the time a Voucher is purchased, the Voucher price does not include sales, value added or use taxes, which may be charged to you separately by the Merchant at the time you redeem the Voucher;
• 6. You understands and agree that our Site can be accessed from countries around the world but that some or all products or services provided on our Site may not be available for purchase to persons residing in certain jurisdictions or geographic areas;
• 7. Redemption of a Voucher for alcoholic beverages is at the sole discretion of the Merchant and may be limited by applicable state and local laws;
• 8. Local Joey does not represent or warrant that any product or service promoted on our Site will be available for purchase by any particular person.

• 1. A paid portion equal to the amount your credit card is charged and similar to a paid gift certificate (the "paid portion"); and
• 2. At no additional charge to you, a promotional portion for the balance of the value of the Deal if used by the promotional expiration date on the Voucher (the promotional portion") (together, the paid and promotional portions of the Deal are presented in a "Voucher").

• 1. Sending an email to the address associated with your account. Local Joey is not responsible for your failure to receive an email due to the actions of your ISP or any email filtering service; therefore, you should add www.LocalJoey.com to the list of domains approved to send you email (commonly known as a "whitelist"); and
• 2. Displaying a prominent announcement above the text of this Agreement or the Privacy Policy, as appropriate, for thirty (30) days,

• 1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
• 2. A description of the copyrighted work or other intellectual property that you claim has been infringed;
• 3. A description of where the claimed infringing material is located on our Site;
• 4. Your contact details;
• 5. A statement that you have a, honestly held belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• 6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.
